In consideration of my engagement as commercial talent, and for other good and valuable consideration herein acknowledged as received, I hereby grant Zeus Perez (“Producer”) it’s representatives and assigns, those for whom Producer is acting, and those acting with Producer’s authority, the absolute, irrevocable and unrestricted right and permission to use any and all videotape, film, photographs, and/or voice recordings (the “Material”) as follows: (a) to copyright the Material in Producer’s name or in any other name as a work-made-for-hire (as the term is referred to in the United States Copyright Law); (b) to use, incorporate, broadcast, distribute, re-use, publish, re-publish, alter and/or edit the Material and/or my likeness, voice and portrayal in whole or in part, severally or in conjunction with other material for any purpose and in any manner whatsoever as Producer so chooses in any and all media, now known or hereinafter devised, in any and all versions, throughout the universe and in perpetuity as well as for illustration, promotion, art, trade, merchandising, publicity and advertising.
I hereby waive any right that I may have to inspect or approve the finished product or products and the advertising copy that may be used in connection therewith or the use to which it may be applied. I acknowledge that all rights in and to the Material, including the negatives, outtakes, sounds and the images contained therein, shall be Producer’s sole and absolute property. I agree to sign any documents reasonably required to transfer or assign all rights in the Material to Producer.
I represent that I have the right and authority to grant to Producer the rights granted hereunder and that this release does not in any way conflict with any existing commitment on my part, nor will I enter into any agreement in the future that conflicts with or in any way limits the rights I have granted herein. Nothing herein requires Producer to use the Material. Producer may assign its rights and obligations hereunder as it deems appropriate.
I agree that, in the event of a dispute arising out of or in connection with this agreement, or any engagement entered into pursuant hereto, my sole remedy against Producer is a claim for the amount contracted for between myself and Producer. In no event shall I be entitled to receive any other form of damages, including but not limited to, special damages, consequential damages, lost opportunity damages, lost profits, royalties or punitive damages. I also agree that, in the event of a dispute, Producer’s rights to distribute, publish, edit, broadcast or otherwise use the Material to the fullest extent permitted hereby shall be unaffected. The sole issue for resolution shall be how much, if anything, is owed to me by Producer under the terms of my engagement by Producer.
I agree to indemnify and hold harmless Producer and any person claiming under Producer, Producer’s parent, subsidiary and affiliated companies, and the respective officers, directors, shareholders and employees thereof from and against any liabilities, losses, claims (including without limitation, any claim based upon copyright or trademark infringement, invasion of privacy, defamation, right of publicity or infliction of emotional distress), demands, costs (including without limitation reasonable attorneys’ fees) and expenses arising out of Producer’s use of the Material, or in connection with any breach or alleged breach by me of any of the above representations or agreements. I have neither the right to rescind or terminate this agreement or any of Producer’s rights hereunder, nor the right to enjoin the production, exhibition, or other exploitation of the Material.
This Agreement shall be governed by the laws of the State of Florida. Any dispute arising hereunder shall be resolved in a court of competent jurisdiction in Broward County, Florida. I hereby expressly submit to the jurisdiction of the Florida courts.
